The DITA-Lancier Trade-in Program (the “Program”) is offered by Dita, Inc. (“DITA,” “we,” “our,” or “us”) for a limited time. By participating in the Program, you agree to these terms and conditions (these “Program Terms”). Please note that your participation in the Program is also governed by the agreements listed and linked below, as well as all other applicable terms, conditions, limitations, and requirements on the dita.com website, all of which (as updated from time to time) are incorporated into these Program Terms. General Terms

If you purchase any “DITA-Lancier” branded frame via dita.com while the Program is available, you may trade in one (1) frame with polarized sun lenses for a $50 rebate from DITA subject to these Program Terms. The trade-in frame must not be missing its lenses, hinges, and/or temples.

You must indicate that you wish to participate in the Program at checkout by adding the trade-in to your shopping cart and agreeing to these Program Terms. This offer is available only to end consumers over the age of eighteen (18) on orders shipped to addresses in the United States. DITA sales agents, dealers, distributors, and retailers are not eligible for the Program. There is a limit of one rebate per consumer during the Program (all persons residing at the same shipping address provided at checkout will be considered a single consumer), regardless of how many DITA-Lancier frames are purchased. “DITA” branded frames, “DITA Epiluxury” branded frames, and “DITA-Lancier” branded frames that are not purchased via dita.com do not qualify for the Program.

The DITA-Lancier frame(s) associated with your trade-in is (are) subject to DITA’s Return Policy, except that once DITA accepts your trade-in frame and initiates the rebate to you, you may not return the frame(s) for any reason other than a valid warranty claim as set forth in our Limited Warranty.

Shipment of Trade-in Frame

DITA will send a prepaid shipping label for your trade-in frame along with the DITA-Lancier frame(s) you purchased to the email address you provide at checkout. You must print the shipping label, affix this to a package containing your trade-in frame, and deliver this to the carrier specified on the label within thirty (30) days of the delivery date for your DITA-Lancier frame(s) as recorded by the carrier. You bear the risk of loss during the shipment of the trade-in frame to DITA. The trade-in frame must be shipped only from the United States. Frames shipped from outside the United States may not be accepted or returned to you.

Acceptance of Trade-in Frame and Payment

DITA shall determine whether your frame complies with these Program Terms in our reasonable discretion. If we accept your trade-in frame, DITA will initiate a $50 USD rebate to the form of payment you used to make your purchase. The time it takes for the rebate to show in your account will depend on the issuing bank for your form of payment and/or your billing cycle. Applicable tax on the rebate, if any, is your sole responsibility.

You will not be entitled to any other rebate, discount, or payment for the trade-in frame or other frames you submit to DITA. You will not receive any rebate, discount, or payment for frames that are not received by DITA. Ownership of and title to the frame transfers to DITA upon our receipt of the frame. You agree that DITA may dispose of the frame in any manner in its sole discretion.

Rejection of Trade-in Frames

We reserve the right to reject any trade-in in in our reasonable discretion, the trade-in frame is counterfeit or stolen, the trade-in frame is missing any of the parts specified above, or the trade-in frame does not have polarized sun lenses. If we reject a trade-in frame, we will notify you that we have rejected your trade-in but will not automatically return the frame to you. You may request that we ship the frame back to you at your cost, but we may not be able to grant your request. In any case, you will not receive any rebate, discount, or payment for a rejected trade-in frame.

Waiver

Our failure to insist upon or enforce your strict compliance with these Program Terms will not constitute a waiver of any of our rights.

Changes to Program

We may discontinue the Program or change any aspect of it at any time without notice to you, provided that we will honor the rebate pursuant to these Terms for all consumers who make a purchase with a trade-in election prior to such discontinuance or change. If any change to these terms is found invalid, void, or for any reason unenforceable, that change is severable and does not affect the validity and enforceability of any remaining changes or conditions. Your participation in the Program after the effective date of any changes to the Program (which will be reflected in these Terms) constitutes your acceptance of the revised Terms.

Legal Title and Compliance with Terms

You represent and warrant that you have the legal right to any frames you submit for trade-in via the Program, that the frames are not counterfeit or stolen, and that your submission of them complies fully with the Program Terms.

Disputes

Any dispute or claim arising from or relating to the Program Terms or the Program is subject to the binding arbitration, governing law, class-action waiver, disclaimer of warranties, limitation of liability, and all other terms in the dita.com Terms of Service and Terms of Sale.

Disclaimer of Warranties and Limitation of Liability

WITHOUT LIMITING THE DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY TERMS IN THE DITA.COM TERMS OF SERVICE AND TERMS OF SALE, OUR TOTAL LIABILITY TO YOU IN CONNECTION WITH THE PROGRAM, WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, WILL NOT EXCEED $50 USD. THIS LIMITATION OF LIABILITY WILL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE CANCELLATION OF THE PROGRAM OR REJECTION OF ANY TRADE-IN SUBMISSION.
